1. Acceptance of These Terms

These Terms of Service ("Terms") govern the use of the software applications, platforms and technology services (collectively, the "Services") provided by Shenzhen Ergou E-commerce Technology Co., Ltd. ("we", "us", or the "Company") to merchants ("you") operating on TikTok Shop. By using our Services, you agree to these Terms.

Our Services are technology services only. We are an independent software vendor (ISV) and are not a seller, marketplace, logistics carrier, or fulfillment agent. We do not sell products on your behalf.

2. Description of Services

Our Services are standardized third-party applications developed on the TikTok Shop Open API, including:

• Automated product listing and bulk asset rendering;
• SPU/SKU mapping and catalog management;
• Automatic order fetching and order dispatch to production channels;
• Tracking-number upload and fulfillment status callback;
• Listing task monitoring and exception alerts;
• Related ERP and operations-management features.

The specific features available to you depend on the service plan you have been authorized for. We may add, modify or remove features from time to time.

3. Your Responsibilities

You agree to:

• Provide accurate business information and ensure you have the legal authority to operate your TikTok Shop account;
• Grant and maintain authorization for us to access your account data through TikTok's official authorization flow, and revoke it only in accordance with the applicable terms;
• Comply with all TikTok Shop platform rules, the TikTok Shop Open Platform Terms, and all applicable laws in the markets where you operate, including e-commerce, consumer protection and data protection laws;
• Ensure that your products, images and content do not infringe the intellectual property rights of any third party;
• Be solely responsible for your products, listings, pricing, inventory, order fulfillment and after-sales service.

4. Our Responsibilities and Service Boundaries

We will use commercially reasonable efforts to provide the Services in accordance with the TikTok Shop Open API specifications and to keep the Services available and secure. However:

• The Services depend on third-party platforms and infrastructure, including TikTok Shop, and we are not liable for failures, interruptions or changes caused by such third parties;
• We do not guarantee specific sales results, revenue, or business outcomes from the use of the Services;
• We are not responsible for the production, quality, shipping or after-sales of the products you sell, except for defects caused directly by our software;
• We may suspend or limit the Services where required by TikTok Shop rules, applicable law, or where necessary to protect data security.

5. Compliance with TikTok Shop Platform Rules

We are committed to operating as a compliant third-party technology service provider. In particular:

• All integrations with TikTok Shop are made through the official TikTok Shop Open API;
• We access and use data only within the scope of the authorization you grant;
• We follow TikTok Shop's rules on third-party services, data usage and developer conduct;
• We do not engage in, facilitate, or provide tools for any activities prohibited by TikTok Shop, including activities that violate its seller or developer policies.

Our Services are intended to support compliant cross-border and local sellers only. If your use of our Services violates platform rules or applicable law, we may suspend or terminate the Services.

6. Data and Privacy

The processing of data in connection with the Services is governed by our Privacy Policy (also available in Vietnamese), which forms part of these Terms. You acknowledge that you have read and agree to the Privacy Policy.

7. Intellectual Property

All software, platforms, interfaces, documentation and other materials provided by us are our property or the property of our licensors and are protected by intellectual property laws. You may use them only as part of the Services. Nothing in these Terms grants you any ownership rights in the Services.

You retain all rights in your own data, products and content. You grant us a limited license to use your data and content solely to provide and improve the Services, in accordance with the Privacy Policy.

8. Disclaimers and Limitation of Liability

The Services are provided "as is" and "as available", to the maximum extent permitted by applicable law. We do not warrant that the Services will be uninterrupted, error-free or free of defects.

To the maximum extent permitted by law, our total liability arising out of or in connection with these Terms or the Services shall not exceed the fees you actually paid to us for the Services during the three (3) months preceding the event giving rise to the liability. We are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue or lost data.

9. Term and Termination

These Terms remain in effect while you use the Services. You may stop using the Services and revoke your authorization at any time. We may suspend or terminate your access to the Services if you breach these Terms, violate TikTok Shop platform rules, or if required by applicable law.

Upon termination, we will stop processing your data and will delete or anonymize it in accordance with our Privacy Policy, except where applicable law requires retention.

10. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on this page with a new "Last updated" date. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

11. Governing Law and Contact

These Terms are governed by the laws of the People's Republic of China, without regard to conflict-of-law principles, and subject to the mandatory provisions of the laws of the jurisdiction where you are located, to the extent they apply.
